What am I investing in at Upside Avenue?

When you invest at Upside Avenue you are purchasing shares of a real estate investment trust (REIT). A REIT is an investment vehicle that combines the capital of many investors to acquire or provide financing for real estate investments under professional management. The REIT is on title as an owner or partner of properties and investors own shares of the REIT, thereby owning physical assets. Upside Avenue was formed to invest in and manage a diversified portfolio of opportunistic multihousing assets within the continental U.S., including apartments, senior living facilities, and student housing. As an open fund the REIT will continuously add properties, providing investors addition diversification.

How do I earn a return on this investment?

The REIT pays investors through quarterly income distributions as well as value earned through appreciation in the shares you own. We are projecting a 12-15% total return annually. Approximately half of that overall return will be in the form of quarterly distributions. These distributions stem from the net income from the assets in the portfolio.

You will also earn value through appreciation. Because we are a private REIT, we have a set share price of $10 per share. At the end of the year, we bring in a third-party appraiser who audits the entire portfolio of properties. As the properties appreciate in value, the share price will be adjusted to reflect that appreciation. One of the benefits of investing in a private REIT is that the share price is directly correlated to the assets in the portfolio. The share price is not subject to the volatility of the per-share pricing on public market REITs because the stock price does not change based on investor behavior.

How often will I receive a return on my investment?

Dividends are typically issued 30 to 60 days after the end of each quarter. For example, dividends for the fourth quarter October to December would be paid in February. When properties are sold, additional periodic dividends may be paid, and the share price of the REIT will be recalculated on an annual basis.

How do I buy shares of Upside Avenue?

You may purchase shares of our common stock at a current net asset value of $10.00* per share on our website by clicking the “Invest Now” button. You will be guided through a five-step process where you can enter certain personal, banking, and other information through our secure investment portal. You will fill out a subscription agreement and pay for the shares at the time you subscribe.

Can I invest through my IRA?

Yes. Upside Avenue allows clients to invest in its multifamily real estate investment trust through their self-directed IRA. Please call Upside Avenue prior to making your investment so that we can coordinate with your self-directed IRA company.

Can I sell (redeem) my shares?

We have a 30-day money back guarantee and a redemption plan that allows investors to redeem shares on an annual basis, following a minimum 1 year holding period. There is a 2% redemption fee in year 2 and a 1% redemption fee in year 3. There are no redemption fees after year 3.

What are the fees?

There are no up-front investment fees and investors in the Upside Avenue REIT pay a 2% annual asset management and investment advisory fee. When properties are sold the REIT also charges a 2% disposition fee of the property asset value. This represents sizable savings for investors considering fees for publicly traded REITs can range from 5-15%.

What are the taxes?

Dividends that you receive generally will be taxed as ordinary income. The portion of your distributions in excess of accumulated earnings is considered a return of capital for U.S. federal income tax purposes and will reduce the tax basis of your common stock. Return of capital dividends made to you in excess of your tax basis will be treated as sales proceeds from the sale of shares of our common stock. Dividends we designate as capital gain dividends will generally be taxable at long-term capital gains rates. We will issue 1099-DIV forms each January.
